Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Recoverly (the “Service”), operated by Recoverly (sole proprietor) based in Japan. By creating an account or connecting your Stripe account, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Recoverly helps subscription businesses recover failed card payments by detecting failed invoices through Stripe, retrying them at sensible times, and sending reminder emails to the affected customers. The Service acts on your behalf on the Stripe account you connect.
2. Eligibility and accounts
You must be able to form a binding contract and be authorized to act for the business whose Stripe account you connect. You are responsible for the activity that happens under your account and for keeping your login credentials secure.
3. Connecting Stripe
The Service connects to Stripe using Stripe Connect (OAuth). By connecting, you authorize Recoverly to read payment and invoice data and to attempt charges and retries on your connected account for the purpose of recovering failed payments. You can disconnect at any time from your settings, which revokes our access.
4. Your responsibilities to your customers
- You are the controller of your customers’ data. You are responsible for having a lawful basis to retry charges and to send reminder emails to them.
- Every reminder email includes an unsubscribe link. You must not remove it or use the Service to send unsolicited or unlawful messages.
- You are responsible for your own pricing, tax, and the underlying contracts with your customers.
5. Acceptable use
You agree not to misuse the Service, including attempting to access other tenants’ data, reverse engineering, overloading the system, or using it for fraudulent charges or any unlawful purpose.
6. Fees, trial, and billing
- The Service offers a 14-day free trial. No charge is made during the trial.
- Paid plans (Starter and Growth) are billed in advance on a recurring basis through Stripe. Plan features, including monthly recovery volume, are described on our pricing page.

7. No guarantee of recovery
Payment recovery depends on factors outside our control, including your customers’ banks and card status. We do not guarantee that any specific amount, or any payment, will be recovered.
8. Service availability
We work to keep the Service available but provide it on an “as is” and “as available” basis without warranties of any kind, to the extent permitted by law. We may modify or discontinue features over time.
9. Limitation of liability
To the maximum extent permitted by law, Recoverly (sole proprietor) will not be liable for any indirect, incidental, or consequential damages, or for lost revenue or profits. Our total liability for any claim relating to the Service is limited to the amount you paid us in the three months before the event giving rise to the claim.
10. Termination
You may stop using the Service and cancel at any time. We may suspend or terminate access if you breach these Terms or use the Service in a way that creates risk or legal exposure.
11. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the date above and, where appropriate, notify you. Continued use after changes means you accept the updated Terms.
12. Governing law
These Terms are governed by the laws of Japan, without regard to conflict of law rules.
